The job in a nutshell

Do you want to work across all areas of corporate governance in a fast-paced, ever growing Group environment? Are you an expert Secretariat in the field of Corporate Governance already working as a Deputy Company Secretary or an Assistant Company Secretary looking to move into an all-encompassing Corporate secretariat role? GoCo Group has an exceptional opportunity for someone to work closely with our General Counsel & Company Secretary in an autonomous and pivotal role within the Group.

This is a hand on role, offering a great level of variety and involvement at a senior level.

Skills and experience you’ll need to have

You will be a Chartered Secretary or have equivalent on the job experience coming into this role. 

This stand-alone position requires proactivity, the ability to effectively manage upwards and ability to work autonomously with a frequent remote management arrangement.

You will have exceptional organisation skills to be able to juggle all that it takes to keep the Group and it’s circa 15 subsidiaries compliant, hitting the statutory deadlines occurring in real time but also keep an eye on future tasks needing attention. 

With great stakeholder management, you will know what information to effectively communicate upwards (and when) and be able to deliver consistently high quality of work to support the Board, at pace.

What you’ll be responsible for

As Deputy Company Secretary for GoCo Group you will pro-actively work with our General Counsel and Company Secretary across the full range is secretariat services across the governance calendar to ensure we comply with the Companies Act, Codes of Corporate Governance, UK Listing Rules and other regulatory requirements.

This will include planning, organising minuting all Board and committee meetings, owning the actions list and prepping in readiness for follow up meetings; ensuring the packs are prepped to the highest standard and in a timely manner.

Support the production of the Annual report, working with finance and other key stakeholders. Additionally, you will work closely with our VP of People & Talent on all things relating to our Remuneration committee and Share plans and with the CFO on matters around the Audit & Risk Committee.

You will manage the insiders list, dividends process and take responsibility for all statutory filings including Confirmation Statements and resolutions passed at AGM and all announcements.  

Who you’ll be working with

  • Board members, Non-Executive Directors and Group Executive Team.
  • Legal, HR, Finance, Compliance and Risk Departments.
  • Interfaces with solicitors and registrars.
  • Liaises with trustees of the EBT
